Rent review

Also called: rent increase · rent escalation · escalation clause · rent adjustment

The mechanism in a tenancy agreement by which rent changes during or at the end of the term, on a stated basis and with stated notice.

Rent does not rise because a landlord decides it should. It rises because the agreement provides a mechanism, the mechanism is operated, and notice is given in the form the agreement requires.

Where none of that is written down, a rent increase is a proposal, and the tenant's options are to accept it, negotiate it, or leave. That ambiguity is the source of most rent disputes in Kenya, and it is entirely avoidable at the point of signing.

The bases people actually use

A fixed percentage, at a stated interval. "Rent increases by 7% on each anniversary." Predictable for both sides, and the easiest to administer. Its weakness is that it is indifferent to the market: a fixed 7% in a flat market is a real increase, and in a rising one it may be below market.

An index. Rent moves with a published measure of inflation. Fairer in principle, and it requires both sides to agree which index and where it is published, because an index nobody can look up is not a mechanism.

Open market review. Rent is reset to what the unit would let for. The hardest to operate on a small residential tenancy, because it needs evidence, and evidence means comparable units that both sides accept.

By agreement, with notice. The most common arrangement in practice and the least defined. It means there is no mechanism, and the increase is negotiated each time.

What a workable clause states

  • The basis: percentage, index, market, or agreement.
  • The interval: annually, every two years, at renewal only.
  • The notice: how much, in what form, to what address.
  • The effective date: from which the new rent runs.
  • What happens if the tenant does not agree, which is the part almost every clause omits.

The notice half, which matters as much as the number

An increase applied without the notice the agreement requires is vulnerable regardless of whether the amount is reasonable. Two habits prevent that:

Give notice in writing, to the address the agreement names, keeping proof of how and when it was sent. See notice period.

State the old rent, the new rent, the basis and the effective date in the notice itself. A message saying "rent goes to 42,000 from next month" leaves every one of those undefined.

The mid-period problem

An increase effective on the 15th of a month billed on the 1st produces a bill at two rates. It should show both: days at the old rate, days at the new, with the totals. See pro-rata rent.

A billing run that applies the new rate to the whole month is overcharging by a small amount that the tenant will notice, and small overcharges cost more credibility than large ones.

A note on controlled tenancies

Some residential and business tenancies in Kenya fall under statutory regimes that restrict how rent may be increased and provide a tribunal route where a tenant objects. Whether a particular tenancy is caught depends on the premises, the rent and the terms, and it changes what is possible rather than merely what is advisable. See controlled tenancy, and take advice on a specific tenancy rather than assuming the agreement is the whole story.

What goes wrong

No mechanism at all. The agreement is silent, so every increase is a negotiation conducted without a framework, usually by message, usually badly.

Notice given verbally. The increase is applied, the tenant disputes that they were told, and there is nothing to produce.

Applied retrospectively. An increase backdated to cover months already billed at the old rate is the fastest way to turn a routine adjustment into a dispute.

Common questions

How much notice is needed for a rent increase in Kenya?
Start with what your tenancy agreement requires, because a stated period is the standard both sides can be held to. Some tenancies also fall under statutory regimes that set their own requirements and provide a tribunal route, so where the agreement is silent or the tenancy may be controlled, it is worth taking advice rather than assuming.
Can a landlord increase rent during a fixed term?
Only if the agreement provides a mechanism for it. A fixed term without a review clause generally means the rent is fixed for the term, and an increase would be a variation that the tenant would have to agree to.
What should a rent increase notice say?
The old rent, the new rent, the basis for the change, the effective date, and how it is being served. A notice missing any of those leaves the tenant unable to check it and leaves the landlord unable to prove what was given.
What if a rent increase takes effect mid-month?
The bill should show both rates: the days at the old rent and the days at the new, with the totals. Applying the new rate to the whole month overcharges by a small amount, and small unexplained overcharges cost more credibility than large explained ones.
